Reviewed 12 September 2026. General guidance; confirm the requirements for your business with the relevant authority.
Setting up a business in the UAE is a sequence of decisions and approvals. Incorporation creates the entity, the licence defines the permitted activity, and immigration, banking and tax administration follow their own rules. A clear plan connects those steps to what the company needs to do on its first day of business.
1. Describe the business before selecting a package
Write a short operating brief: the product or service, customers, countries involved, owners, location of the work, staffing and facilities. Explain any regulated activity, physical goods, payment collection or professional qualification involved. This helps an authority or adviser identify activity codes and approval requirements.
Choose the activity for the work the company will actually perform. A broad marketing label does not necessarily cover every service the owner wants to sell. Resolve ambiguous activities before paying for a licence that may need amendment.
2. Compare the formation route
Mainland companies are licensed through the relevant emirate’s economic authority. Free zone companies follow the selected zone’s rules. Offshore structures serve different purposes and should not be treated as substitutes for an operating licence or residence sponsorship. Compare the route against the commercial plan, not just ownership or an initial fee.
Many activities permit full foreign ownership, but regulated or strategic-impact activities and particular legal forms need separate review. Determine whether a branch, limited liability company or another permitted form suits the owners and intended contracts. Corporate shareholders add another layer of documentation.
3. Build a realistic budget
| Budget component | What to confirm |
|---|---|
| Authority and incorporation charges | Activity, legal form, name reservation and issuance charges |
| Premises or workspace | Permitted use, term, deposit, registration and renewal |
| Immigration and visas | Establishment requirements, allocation, individual processing and exclusions |
| Documents | Required translation, attestation, resolutions or professional reports |
| Professional support | Exact scope, deliverables, exclusions and payment stages |
| Continuing operations | Renewal, accounting, tax work, insurance and sector requirements |
Request a first-year quote and a renewal estimate using the same assumptions. A package described as including a visa may include only an allocation or selected processing charges. Ask for a written breakdown. Avoid committing to premises or travel solely on an advertised processing time.
4. Prepare the application documents
For individual shareholders, start with passports, contact details and UAE identity or residence documents where applicable. Confirm the manager, ownership percentages and proposed names. The authority may ask for address evidence, a business plan, qualifications or other activity-specific documents.
For a corporate shareholder, identify the ownership chain and the people authorised to approve and sign the formation documents. Obtain the exact checklist before arranging translations or attestations. Keep names and dates consistent across documents and explain discrepancies before submission.
5. Reserve the name and obtain approvals
The name must meet the chosen authority’s rules and availability checks. Initial approval, where used, is a stage in the process; it is not permission to start operating. Sector approvals may be needed for activities involving healthcare, food, education or industrial premises.
Complete the legal documents and premises arrangements, submit the required evidence and respond to authority queries. Review the issued documents for the company name, activities, owners, manager and validity dates. Keep the final licence and incorporation records together.
6. Arrange employment and residence formalities
Establishment registration, work permissions and residence applications depend on the entity and authority. Confirm which steps can be completed remotely and which require an applicant’s presence. Medical screening, biometrics, identity procedures and insurance may form part of the individual application.
A company licence does not guarantee a visa or a Golden Visa. Review the applicant’s actual category and circumstances. Calendar expiry dates separately for the licence, establishment record and each individual permit.
7. Prepare for bank onboarding
Explain the source of funds, ownership, intended activity, expected counterparties and transaction pattern. Banks may request company documents, identity and address evidence, contracts, invoices or a business plan. A new company can explain its intended trading model with appropriate supporting material rather than inventing a trading history.
Compare account features, minimum-balance terms, transfer costs and currencies with the business needs. MNK can help organise an application; the bank decides approval and timing.
8. Set up records and tax administration
Assess Corporate Tax registration based on the person’s legal status and circumstances. UAE companies, free zone entities, natural persons and foreign businesses are not all assessed using the same rule. Registration is separate from whether tax is ultimately payable.
VAT has its own tests, including taxable supplies and imports over the previous 12 months or expected in the next 30 days, with special rules for non-residents. Do not use profit as a VAT threshold or assume a licence fee includes tax compliance. Establish bookkeeping, invoicing, document retention and approval processes from the start.
Keep a post-launch calendar
- Licence and premises renewals.
- Immigration, identity and employment document expiries.
- Tax registration, returns, payment and required record updates.
- Beneficial ownership and shareholder-register changes.
- Sector approvals, insurance and other operating requirements.
Assign each item to a named person and retain submission evidence. An outsourced PRO or adviser can support the work, but the company should retain visibility and control of its records.
How long does setup take?
The sequence depends on the activity, owners, documents, premises and external approvals. Ask for milestones and dependencies for the actual application. Licence issuance, residence processing and banking should have separate expectations.
Can MNK coordinate the process?
MNK can help compare the route, assemble the checklist and coordinate the agreed formation and administration work. Start with your operating brief so the quote reflects the business you intend to run.
