Who Needs to Register for Corporate Tax?

Mainland Companies

All mainland businesses must register, including LLCs, sole establishments, and other legal setups. This is true even if you make little profit or none at all.

Free Zone Entities

Note: All of these dates have now passed. If your company existed before March 2024 and you have not registered yet, you are already late, but keep reading, because the penalty waiver below may help you.

If your company was set up on or after 1 March 2024, the rule is simpler:

  • New UAE companies (mainland and free zone): register within 3 months of incorporation.
  • Non-resident with a permanent establishment: register within 6 months of setting it up.
  • Natural persons with over AED 1 million turnover: register by 31 March of the next year.

If your company holds more than one license, use the earliest license date to work out your deadline.

Documents Required for Registration

Prepare these before you start. Most delays happen because a document is missing or unclear.

For companies (legal entities):

  • Valid trade license
  • Memorandum of Association (MOA)
  • Emirates ID and passport copies of owners and directors
  • Shareholder and ownership details (anyone owning 25% or more)

The Good News: The Penalty Waiver

Here is the update many older guides miss. Since 14 April 2025, the FTA waives the AED 10,000 late registration penalty if you file your first corporate tax return (or annual declaration) within 7 months of the end of your first tax period instead of the usual 9 months.

You do not need a separate application. The waiver is applied automatically through EmaraTax once you register and file on time. If you already paid the fine, it is refunded as a credit to your EmaraTax account. This has already helped tens of thousands of UAE businesses clear their penalties.
